Companies House and Sole Traders

Hi Guys,

I wonder if anyone could clear something up for me?  My son has started his own business which at the moment he is doing in the evenings after work.  Should he register his business name with Companies House?  If he must, does that mean he will have to submit his accounts at the end of the year like PLC or LTD companies do?  I haven't had much dealings with Companies House so not sure what advise to give him.  Would appreciate any help with this learning curve.

needs to deal with Companies House if he chooses to run his business via a
Company. If he works as a sole trader (which it sounds like your son is
doing, at least for the present), Companies House doesn't come into it at
all. There is no necessity to register business names, submit accounts or
anything like that. Like any individual, however, he will need to submit
his own tax returns.

The controls with regard to business names mainly apply to companies
(Companies House won't, subject to certain provisos, let two companies
register with the same name). For other traders, concerns relate mainly to
passing off and trademarks. If your son wanted to call his business "Coca
Cola" and sell fizzy drinks, he'd soon hear about it from Coke!

There is the complication of being both employed and self employed for the
purposes of submitting his own tax returns (as he will need to include any
profit from the business as part of his income for the year), but somebody
better informed than me will have to chip in on that aspect of it! Might be
a good idea to contact HMRC to see what they need.

Hi Danya,

Thanks for your help.  I knew he didn't have to register.  It was the lady I work under who put the doubt in my mind.  She told me it made his Business legit, and that he had to register as a sole trader.  I am so glad that you cleared the muddy waters for me. I am afraid I am not very confident in what I know when I come up against someone who says they have been in the bookkeeping business for years. Silly as I think our ICB training is second to none.

It’s so easy for someone to make you unsure of what you know, isn’t it? I think she’s confusing things. You have to register as self-employed with HMRC for tax purposes, but you can’t register a business with them (a business is not a separate legal person in the same way that a company is). As your son is both employed and self-employed it’s a little more complicated. But that’s all about tax, not business filings.



If your son wants to incorporate then that’s a whole different story, but if he’s just starting out it’s probably not worth the hassle yet.

Hi Danya,

My Son has registered on line with HMRC for self assessment and is just waiting for a response from them. He is a personel Trainer and is just starting to build up his clients. His hope is to have enough clients to knock his full time job on the head.
Thank you for your help. It is so good to be a part of the ICB forum and the ICB in general.
